You hereby warrant, undertake and declare that neither You nor your stakeholders or directors, or Ultimate Beneficial Owners are on the Office of Foreign Assets Control (OFAC), Specially Designated Nationals (SDN), Office of Financial Sanctions Implementation (OFSI) European Union (EU) United Nations (UN) or Blocked Persons list. You undertake to immediately inform TBO through written communication in the event You or any of your shareholders, directors, affiliates are placed on any of the above lists.

(“TBO Shanghai”), Tek Travels Arabia Company for Travel and Tourism (“Tek Travels Arabia”), TBO LLC, TBO Tek Ireland Limited (“TBO Ireland”), United Experts for Information Systems Technology Co. LLC (“United Experts”) and BookaBed AG (“Bookabed”),all collectively “TBO”.

Each Party shall mutually appoint a sole arbitrator. The place of arbitration shall be New Delhi, India. The arbitration proceedings shall be in the English language. The said arbitration proceedings shall conducted as per the procedures, rules and regulations mentioned in Arbitration and Conciliation Act 1996 (as amended).

These terms and conditions are governed by and shall be construed in accordance with the laws of the India and any dispute shall exclusively be subject to the jurisdiction of the appropriate Courts situated at New Delhi, India.
